FORSYTHE PRIVACY POLICY

It is the policy of Forsythe (“Forsythe”) to protect personal privacy. Because your use of Forsythe’s websites (all web pages of Forsythe dealing with anything related to Forsythe are hereinafter referred to as the “Sites”) indicates your acceptance of the Forsythe Privacy Policy, please review this Privacy Policy carefully. Forsythe may change this Privacy Policy at any time by posting revisions to the Forsythe Site. This Privacy Policy shall be applicable to any person or entity who directly or indirectly inputs information into or on the Site (“Users”), and all information input into or on the Site. Terms defined in the Terms of Use shall have the same meaning in this Privacy Policy.

INFORMATION COLLECTION AND USE

Forsythe is the sole owner of the information collected on this Site. We use collected information to setup or improve the Site, and we may use collected information to contact Users for a variety of reasons, including, without limitation to obtaining information from Users regarding their use of the Site and Services and ways we can improve the Site, and to send information to them regarding us, our services, or our friends or partners, such as promotions and events. We use our information in ways we determine appropriate in our sole discretion, and we reserve the right to do so. We do not, however, share e-mail addresses with third parties. Also, we will not sell or rent personal identification information to anyone and we will not disclose any collected information to others in ways different from what is disclosed in this statement. Forsythe collects information from our Users at several different points on our site.

REGISTRATION

In order to post or transmit information or data, or provide for the posting or transmitting by Staff Members, or use this site, a User must first complete the registration form. During registration, a User is required to give contact information, including but not limited to name, address and phone number. This information is used to contact the User or the Customer, whom a User represents or is affiliated with, about the services on our Site for which they have expressed interest. It is optional for the User to provide demographic information, but encouraged so we can provide a more useful personalized experience on our Site to all Users.

ORDER

We request information from the User on our Site in order to process any order or purchase. Here, a User must provide contact information, including but not limited to name and shipping address and financial information, including but not limited to credit card number and expiration date. This information is used for billing purposes and to fill customer's orders. If we have trouble processing an order, this contact information is used to get in touch with the User, or a Customer with whom a User is affiliated or represents.
Forsythe may use a third party intermediary to manage the credit card processing. This intermediary is solely a link in the distribution chain, and is not permitted to store, retain, or use the information provided, except for the sole purpose of credit card processing.

COOKIES

Forsythe employs the use of "cookies" to collect information about Customers, Staff Members, Visitors and other users and their use of the Site. "Cookies" are small computer files that Forsythe transfers to your computer's hard drive that allow Forsythe to know how often you visit the Site and the activities you conduct while on the Site. Third parties, such as advertisers, may also use Cookies when you select their advertisements or links from the Site. However, we have no access to or control over these Cookies. Usage of a Cookie is in no way linked to any personally identifiable information while on our Site.

LOG FILES

We use IP addresses to analyze trends, administer the Site, track User's movement, and gather broad demographic information for aggregate use. IP addresses are not linked to personally identifiable information.

SHARING

We will share aggregated demographic information with our partners and advertisers. This is not linked to any personal information that can identify any individual person.
We partner with other parties to provide for specific services. When the User signs up for these services, we will share names, or other contact information that is necessary for third party affiliates to provide these services.

These parties are not allowed to use personally identifiable information except for the purposes of providing these services.

CORRECTING/UPDATING PERSONAL INFORMATION

Applicable Law and Arbitration

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Minnesota without regard for principles of conflicts of laws. Any civil action, claim, dispute or proceeding arising out of or relating to the Terms and Conditions, except for an injunctive action regarding a breach or threatened breach of any provision of the Terms and Conditions by User as provided above, shall be referred to final and binding arbitration, before a single arbitrator, under the commercial arbitration rules of the American Arbitration Association in St. Paul, MN. The arbitrator shall be selected by User and the Company, and if User and the Company are unable to reach agreement on selection of the arbitrator within thirty (30) days after the notice of arbitration is served, then the arbitrator shall be selected by the American Arbitration Association. Arbitration shall not commence until the party requesting it has deposited One Thousand Dollars ($1,000.00) with the arbitrator for the arbitrator's fees and costs. The party requesting arbitration shall advance such sums as are required from time to time by the arbitrator to pay the arbitrator's fees and costs until the prevailing party is determined or the parties have agreed in writing to an alternate allocation of fees and costs.

Judgment upon any award rendered by the arbitrator shall be final, binding and conclusive upon User and the Company and User and the Company's respective administrators, executors, legal representatives, successors and assigns, and may be entered in any court of competent jurisdiction. Notwithstanding the previous sentence, in no event shall either User or the Company be entitled to punitive damages and both User and the Company hereby waive their respective rights to any punitive, special, indirect or consequential damages, including, but not limited to, damages for any loss of profit, revenue or business. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply.

Submissions

User agrees that any materials, including but not limited to questions, comments, suggestions, ideas, plans, notes, drawings, original or creative materials or other information, provided by User in the form of e-mail or submissions to the Company, or postings on the Web site, are non-confidential (subject to our Privacy Policy). We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use of these materials for any purpose, commercial or otherwise, without acknowledgment or compensation to User. The submission of any materials to the Company, including the posting of materials to any forum or interactive area, irrevocably waives any and all "moral rights" in such materials, including the rights of paternity and integrity.

User will not submit any of the following material to the Company, or post it on the Web site:

  • material for which User does not have the right to post, including the proprietary material of any third party;
  • material which advocates illegal activity or discusses an intent to commit an illegal act;

  • material which does not pertain directly to the subject matter of the particular forum.

The Company reserves the right to monitor Forums to determine compliance with these Terms and Conditions, as well the right to remove or refuse to post any posting, including any of the above postings upon discovery thereof. Notwithstanding these rights, User remains solely responsible for the content of its postings. User acknowledges and agrees that neither the Company nor any third party content provider will assume or have any liability for any action or inaction by the Company or any third party content provider with respect to any posting on the Forums.
